Seagate Technology Announces Pricing Of $430 Million Of Senior Secured Second-Priority Notes

Seagate Technology (NASDAQ: STX) today announced the pricing of its previously announced offering of $430 million aggregate principal amount of 10.00% Senior Secured Second-Priority Notes due 2014 (the “Notes”). The Notes will be issued by Seagate Technology International (“STI”), an indirect wholly-owned subsidiary of Seagate Technology, and guaranteed by Seagate Technology, Seagate Technology HDD Holdings and all of Seagate Technology’s other subsidiaries that guarantee its senior secured credit facility, on a full and unconditional basis and secured by a second-priority lien on the assets that secure the senior secured credit facility. The Notes are being sold in a private placement to qualified institutional buyers pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended (the “Securities Act”). The sale of the Notes is expected to close on May 1, 2009, subject to the senior secured credit facility becoming effective on or prior to such date and subject to customary closing conditions.

Seagate estimates that the net proceeds from the offering will be approximately $399 million after deducting discounts and estimated offering expenses.

Seagate intends to use the net proceeds from the offering for general corporate purposes, including the repayment or repurchase of all or some of its $300 million aggregate principal amount of floating rate senior notes due October 1, 2009 and other indebtedness.

Seagate Technology Announces Selected Preliminary Fiscal Third Quarter 2009 Financial Results
– Exceeds revenue outlook, cash balance increases to $1.5 billion
– Releases initial June quarter outlook
– Provides liquidity update, eliminates quarterly dividend

SCOTTS VALLEY, Calif. – April 13, 2009 – Seagate Technology (NASDAQ: STX) today announced selected preliminary financial results for its third fiscal quarter which ended on April 3, 2009 and an initial business outlook for its fourth fiscal quarter ending July 3, 2009.

Preliminary Fiscal Third Quarter 2009 Results
Seagate expects to report unit shipments of approximately 39 million and revenue of approximately $2.1 billion, exceeding the company’s original outlook of $1.6 – 2.0 billion. The company believes the total available market (TAM) for hard disk drives was in the range of 110-112 million units for the March quarter. Unit demand for Seagate’s 2.5-inch and 3.5-inch ATA products was better than planned and the company gained significant share in each of these markets. The company’s leadership position in the enterprise market remained substantially unchanged from the prior quarter; however, the TAM for enterprise class products decreased by an estimated 20%, sequentially. In addition, the company shipped a higher mix of lower capacity desktop and notebook products than planned. Cash, cash equivalents and short-term investments increased by $200 million to approximately $1.5 billion.

Gross margin as a percent of revenue (“gross margins”) is expected to be approximately 7 – 7.5%, which is better than the company anticipated due to higher volumes and effective spending controls. Compared to the prior quarter, gross margins decreased by approximately 700 basis points due to like-for-like product price declines, an estimated 20% reduction in the TAM for enterprise class products, and lower factory utilization and fixed cost absorption as the company continues to aggressively manage inventory and align production with demand.
Product development and marketing/administrative costs are expected to be approximately $380 million, including approximately $10 million of accelerated depreciation, which is favorable compared to the original outlook of $395 million.

“I’m encouraged by our progress during the quarter in identifying and addressing a number of key strategic issues that are critical to the success of our business model,” said Steve Luczo, Seagate chairman and chief executive officer. “Specifically, we are realigning our business processes and optimizing our product portfolio to maximize profitability. These actions allow us to more effectively fund our technology development, drive product leadership and create value for our customers by delivering the industry’s best products. We expect to see the effects of these actions in our product transitions, resulting in an ongoing improved margin profile. We’re encouraged with the ramp of our new 250GB and 500GB 2.5-inch products and 500GB and 1TB 3.5-inch products as they transitioned to volume this quarter. Additionally, we are addressing the near- to mid-term liquidity requirements through the recently announced amendment to our credit agreement and the announcement today of our anticipated financing.”

Initial Fiscal Fourth Quarter 2009 Outlook
Current uncertainty in global economic conditions makes it particularly difficult to predict product demand and other related matters and makes it more likely that Seagate’s actual results could differ materially from current expectations.

For the June quarter, the company expects the TAM, on a unit basis, to be flat as compared to the March quarter in contrast to the historical norms of a slight decrease, with pricing consistent with historical June quarters. The company sees no significant increase in the TAM for the enterprise market and expects to maintain its leading share position in this market in the June quarter. Accordingly, the company expects revenue to be in the range of $1.9 – 2.2 billion and gross margins to improve by 300 – 400 basis points as products based on the 2.5-inch 250GB/disk and 3.5-inch 500GB/disk product platforms continue to ramp and replace less cost-efficient product platforms. The company believes the ongoing transition to these new product platforms, coupled with targeted cost structure reductions, provides the foundation for the continued improvement of gross margins into its fiscal year 2010. Product development and marketing/ administrative costs are expected to be approximately $340 million for the June quarter, with the targeted run rate being less than $300 million per quarter which is expected to be achieved during fiscal year 2010.

As part of the company’s ongoing cost structure alignment, additional restructuring actions are currently being addressed. The company believes opportunities exist to reduce operating costs in product development, marketing/administrative and manufacturing areas to target a cost structure that generates positive cash flow and earnings within its fiscal year 2010. The estimated cost of any additional restructuring activities has yet to be determined.

The fiscal fourth quarter 2009 outlook does not include the impact of any future mergers, acquisitions, dispositions or other business combinations, financing or potential new restructuring activities the company may undertake. The company is continuing to evaluate various financing options to manage the retirement and replacement of existing debt and associated obligations, including the issuance of new straight debt securities, exchanging existing debt securities for new equity or other debt securities and retiring existing debt securities pursuant to privately negotiated transactions, open market purchases or otherwise.

Liquidity
Cash, cash equivalents and short–term investments as of April 3, 2009 totaled approximately $1.5 billion compared to $1.3 billion in the prior quarter. Approximately $90 million of cash restructuring payments were made during the March quarter.

To further enhance liquidity, management has recommended and the board has adopted a policy of not paying a quarterly dividend. This action is expected to reduce cash outflows by approximately $60 million annually.

As disclosed on April 6, 2009, the company has amended the terms and financial covenants relating to the existing revolving credit facility. The company believes the new financial covenants provide adequate flexibility for the remaining term of the credit facility.

Seagate Joins With Beijing Opera Theatre In Preserving An Important Part Of China’s Cultural Heritage

BEIJING – April 1, 2009 – Seagate (NASDAQ: STX), the world leader in storage solutions, has partnered with China’s best known traditional Beijing opera group to provide digital back up and storage for its vast archive of theatre and performance materials. The Beijing Opera Threatre will use Seagate’s FreeAgent® family of desktop and portable storage solutions to back up thousands of hours of videos, pictures, scripts and recordings of its complete repertoire, spanning more than 1400 works. Some of these materials are from performances over 70 years ago.

The announcement was made today on the 30th anniversary of Beijing Opera Theatre at the Chang An Grand Theatre, China’s most popular Peking opera theatre.

“Beijing Opera Theatre has encountered many challenges over the past 30 years, but the followers of Peking opera have never given up innovating,” said Wang Yuzhen, president of Beijing Opera Theatre. “Storing the culture of Peking opera can facilitate and encourage the innovation of traditional Chinese opera as this enables us to share the nation’s precious cultural heritage with successive generations. We hope that more organizations and individuals will join Seagate in influencing many more people so they can appreciate the beauty of Peking opera, and help realize the continued innovation and artistic revival of Peking opera.” Beijing opera or Peking opera is a form of traditional Chinese theatre combining music, vocal performance, mime, dance and acrobatics. Beijing Opera began in the late 18th century and by the mid-19th century, it became an important cultural icon appreciated by many Chinese as its works dramatically portrayed civil, political and military struggles taken from historical novels or legends. Performers, clad in their elaborate and colorful costumes, are the only dramatic focal points on the sparse stage.

Beijing Opera Theatre was established in the early spring of 1979 and over the years has developed numerous talented performers. These include the “Four Famous Dans,” Mei Lanfang, Shang Xiaoyun, Cheng Yanqiu and Xun Huisheng, and “Five Famous Performers,” Ma Lianliang, Tan Fuying, Zhang Junqiu, Qiu Shengrong and Zhao Yanxia.

“With its long history and countless classic works, we need a great deal of digital storage to help us preserve these beautiful classics,” said Wang. “Unfortunately, some classic works such as Dingjun Mountain, a black and white analogue film adapted from Peking opera, have been totally destroyed due to improper storage. Some work by Xun Huisheng and Yang Baoseng also do not have any video recordings for future generations. We are working with Seagate to prevent this type of loss.”

Seagate Mentors Students To Set Designs On Engineering Careers

SPRINGTOWN, Northern Ireland – April 1, 2009 – For the past six months, an engineer from Seagate (NASDAQ: STX) has been helping Foyle & Londonderry College inspire students to pursue careers in engineering.

The partnership was forged between Seagate and four sixth form students from the school as part of the Engineering Education Scheme, which is managed in Northern Ireland by Sentinus, one of the largest providers of business education activity in Europe. The Scheme aims to promote innovation and creativity in the field of engineering and will culminate with a finale showcase on Tuesday 21 April in Queens University’s Whitla Hall, when the Foyle & Londonderry College group will join teams from across Northern Ireland to exhibit their work and make a presentation to a panel of experts.

Peter McMenamin, the process engineer with Seagate who has been mentoring the group, set the research project for the group. The students were tasked with redesigning the containers (lot boxes) that are used to transport the Springtown facility’s product (thin film wafers that each contain thousands of recording heads for hard disk drives). The main requirements of the design brief included the capacity to carry multi-size wafers, improvements that would reduce damage to wafers and incorporation of radio frequency identification devices for wafer tracking purposes.

Explaining how the students set about tackling the project, Foyle & Londonderry College student, Christopher Ramsey, said; “We began by identifying the issues associated with the current box design, then progressed to designing and integrating solutions to enable both wafer sizes to use a common lot box. Our design solution had to take into account design constraints in the areas of health, safety and ergonomics. We also needed to evaluate the commercial and environmental benefits to Seagate.

“I’ve always enjoyed technology and practical classes at school, but this project has really opened my eyes to the range of careers to which engineering opens doors. It’s a fantastic experience to be able to work on a real life project where the solution we’ve found will actually be put into practice by Seagate.”

New Apprenticeship Tradition Forged At Seagate

SPRINGTOWN, Northern Ireland – March 30, 2009 – The apprenticeship tradition is being revisited and reinvigorated in Derry where Seagate (NASDAQ: STX) has become the first engineering employer in the Province to offer an in-company adult engineering apprenticeship under the ApprenticeshipsNI programme.

Eight Seagate employees, previously employed by the company as operators, have switched to new roles as apprentices with a bespoke structured training programme designed to help them build engineering skills.

Seagate formed a relationship with Engineering Training Services (ETS) who will manage the programme independently and ensure apprentices have the opportunities to earn key achievement milestones, including NVQ Level 2 Performing Engineering Operations, NVQ Level 3 Engineering Maintenance, BTEC National Certificate in Electrical/Engineering and Essential Skills at Level 2 in Application of Number, Communication and Information Technology (if required). The ApprenticeshipsNI programme is funded by the Department for Employment and Learning.

The eight mature apprentices who are aged between 27 and 34 will learn ‘on the job’ and will also study on a day-release basis at the Strand Road Campus of the North West Regional College.

Launching Seagate’s support for the ApprenticeshipsNI scheme, John Spangler, vice president at Seagate’s Springtown facility, said, “We are at the leading edge of technology and innovation but that doesn’t mean we can’t learn from the past and we know a win-win opportunity when we see one.

“For many generations, apprenticeships have offered individuals the opportunity to enhance their knowledge, experience and career prospects. Companies have also benefited as loyal employees flourish, developing and building skills that are directly and immediately relevant. We are delighted to bring those benefits to our workplace and look forward to our first engineering apprentices completing their programme by September 2011.”

Warren Blair, who has been working at Seagate’s Springtown plant since 1996, is enthusiastic about the opportunity ahead of him. Mr. Blair says, “It’s great to have the chance to improve your career prospects without having to leave a good job to become a full time student. Thanks to the apprenticeship scheme, I can get my qualifications and hopefully move that next step up the ladder. The training at Seagate is not just a matter of shadowing an employee – it’s a very professional and highly structured modern apprenticeship that will bring real qualifications and benefits.”

Welcoming the Seagate initiative, Jim McIlveen, manager of ETS, said, “Current recruitment levels for Apprentices in Engineering are running at only one-third of the requirement depicted in the Engineering Skills Balance Sheet for Northern Ireland. Engineering Training Council (NI) has proposed innovative programmes to address this shortfall.

“Companies like Seagate are exemplars of investment in employee development and in utilising the ApprenticeshipsNI programme for its longer term growth and replacement policies. This will greatly assist ETC (NI) in its efforts.”

Seagate Wins 2009 Everything Channel Five-Star Award For Partner Program Excellence
